Welcome to Obviate AI, Inc. (“Obviate,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our proprietary artificial intelligence–powered software-as-a-service platform, including the Contract Documents Dashboard and associated services (collectively, the “Services”). Using the Services, you agree to be bound by these Terms, our Privacy Policy, and our End-User License Agreement (EULA).

While we employ sophisticated technology, we do not guarantee any AI-generated output's accuracy, completeness, or suitability. You expressly acknowledge that AI analysis may contain errors, omissions, or inaccuracies.

All outputs generated by our AI systems require your independent review by qualified legal counsel. Our Services do not constitute legal advice and cannot substitute for professional legal judgment.

1. Eligibility and Acceptance

2. Services Overview and Limitations
2.1 Services Provided:

Obviate offers AI-powered tools to upload, analyze, and summarize contract documents. All processing is conducted through automated systems, and no human review is performed.

The quality of the output depends on the quality of the input and the inherent limitations of AI technology.
2.2 No Legal Advice:

The Services are provided for informational purposes only. You are solely responsible for obtaining independent legal review and advice regarding any AI-generated output.
2.3 Service Modifications:

We may update, modify, or discontinue features at any time at our sole discretion, and we make no guarantees regarding processing times, system capacity, or complete coverage of jurisdiction-specific legal requirements.
3. License and Intellectual Property
3.1 License Grant:

Subject to your compliance with these Terms and the payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
3.2 Usage Restrictions:

You shall not:

Copy, modify, or create derivative works of the Services;

Reverse engineer or decompile any part of the Services;

Use the Services to build a competing product;

Remove or alter any proprietary notices; or

Exceed any usage limitations imposed by us.

Obviate retains all rights, title, and interest in the Services, including all intellectual property rights.

You retain ownership of any documents or content you upload, subject to our rights as set forth herein.

Any feedback or suggestions you provide become our exclusive property, and we may use aggregated or anonymized data for AI training and product improvement.
4. Data Use, Privacy, and AI Training
4.1 Data Processing and Usage Rights:

By uploading documents, you grant Obviate a worldwide, non-exclusive, royalty-free license to process and analyze your data. Obviate does not use your contract data to fine-tune any AI systems we control.
4.2 AI Training Specifics:

You acknowledge that:

Uploaded documents will be provided for processing by third party API services that allow Obviate to read, review, risk analyze, and edit contracts uploaded to Obviate. Obviate monitors and configures these API services to prohibit training of any third-party API services on your contract text. We provide you the option to delete all contract data and stored revised agreements after any transaction; and

4.3 Data Retention:

Documents will be retained for up to 90 days after processing.

Deletion requests will be honored within 30 days unless legal obligations require longer retention.

System logs, metadata, and anonymized data and its derivatives may be retained indefinitely.
4.4 Security Measures:

We implement commercially reasonable security measures to protect your data; however, no security system is infallible.

You are responsible for maintaining the security of your credentials and must report any security concerns immediately.
5. Fees, Payments, and Refunds
5.1 Fees:

Fees for the Services are published on our website and are subject to change upon 30 days’ notice.

All fees are payable in advance and are non-refundable, except where required by law.
5.2 Payment Terms:

You authorize automatic renewal charges and are responsible for all taxes and third-party charges.

Late payments may incur interest at 1.5% per month, and failure to pay may result in suspension of the Services.
6. Service Level Commitments
6.1 Availability:

We strive for reasonable uptime but make no specific uptime guarantees. Maintenance windows may be scheduled without prior notice.

No credits or refunds will be provided for downtime.
6.2 Support:

Basic support is available during normal business hours.

Response times are not guaranteed, and additional support services may incur extra fees.
7. Termination and Suspension
7.1 Suspension:

We reserve the right to suspend your access immediately if we suspect any violation of these Terms, non-payment, or any activity that may harm the Services or other users.
7.2 Termination:

You may terminate your use of the Services by providing 30 days’ written notice.

We may terminate your access at any time, with or without cause, and termination does not relieve you of any outstanding payment obligations.

Upon termination, all rights granted under these Terms will immediately cease, and we may delete your data after 30 days.
7.3 Effect of Termination:

Termination of these Terms does not relieve you of any accrued obligations or liabilities.

Provisions that by their nature are intended to survive termination (such as indemnification, limitation of liability, and confidentiality) shall continue in effect.
8. Indemnification
You agree to indemnify, defend, and hold harmless Obviate and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Services;

Your uploaded content;

Your violation of these Terms or any applicable laws; or

Any harm caused by reliance on AI-generated output.
9. Warranties, Disclaimers, and Limitations of Liability
9.1 Disclaimer of Warranties:
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.
9.2 Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) Our aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the lesser of (i) $10,000 or (ii) the total amount paid by you for the Services in the 12 months preceding the claim.

(b) In no event shall Obviate be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or legal costs, even if advised of the possibility of such damages.
10. Governing Law and Dispute Resolution
10.1 Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of law principles.
10.2 Dispute Resolution:
